Tieout is software published by Adjacent Works, a studio based in Halifax, Nova Scotia, Canada. These terms cover your use of the tool and any licence key you buy.

What the tool does, and what it does not do

Tieout reads exports you already have and explains why a payment-gateway clearing account did not return to zero. It reports what its rules can account for and puts everything else in an explicit unresolved bucket.

It is not accounting, tax, audit, or legal advice, and it does not replace professional judgement. You remain responsible for your own books. Check every figure before you rely on it, post a journal from it, or file anything based on it. Tieout names what it cannot explain rather than guessing, but a result that looks complete is still a starting point for your review, not a conclusion.

Your files

The tool runs entirely in your browser. Files you load are parsed and computed on your own machine, are held in memory only, and are cleared when you refresh or choose Start over. Nothing is uploaded, and the page ships a Content-Security-Policy that forbids outbound connections, so you can confirm this in your browser's developer tools with the network disconnected.

The licence

The complete diagnosis is free and unlimited. A paid licence key unlocks the retention features: the CSV exports, the evidence bundle, the print-to-PDF close packet, the carry-forward file, the close manifest, and the copyable summary.

Because verification is offline, a key cannot be revoked once issued. We ask you to respect the licence rather than relying on a technical measure that this architecture deliberately does not have.

Delivery

Keys are delivered by email after payment clears. Keep that email: the key is not stored anywhere we can reach, so we cannot recover or reissue it for you.

No warranty

The software is provided "as is", without warranty of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that its results are complete or correct for your circumstances, or that it will recognise every export format a provider produces. Provider export schemas change without notice.

Limitation of liability

To the fullest extent permitted by law, our total liability arising out of or relating to the software or these terms is limited to the amount you paid for your licence. We are not liable for indirect, incidental, special, or consequential losses, including lost profits, lost data, or costs arising from a misstated figure, a missed filing deadline, or a reliance on an incomplete result.

Payment and tax

Purchases are processed by Paddle, which acts as the merchant of record and is responsible for collecting and remitting applicable sales tax, VAT and GST. Your receipt and billing records come from Paddle.

Changes

These terms may change for future purchases. The version in force when you bought your licence continues to apply to that licence.

Governing law

These terms are governed by the laws of the Province of Nova Scotia and the federal laws of Canada that apply in it.
